WeShipYou Seller Terms

These WeShipYou Seller Terms (the “Seller Terms”) govern your use of the WeShipYou marketplace as a seller (“Seller”, “you”). They are a legally binding agreement between you and WeShipYou Corp. (“WeShipYou”, “we”, “us”), and they supplement our general Terms of Service and Privacy Policy. By creating a storefront or listing any product on WeShipYou, you accept and agree to be bound by these Seller Terms.
If you do not agree with any part of these Seller Terms, you must not create a storefront, create listings, or accept orders through WeShipYou.
1. Eligibility and Account
1.1. To sell on WeShipYou you must (a) have a WeShipYou account in good standing, (b) be at least 18 years of age or the age of majority in your jurisdiction, and (c) have full legal authority to enter into these Seller Terms, individually or on behalf of the business you represent.
1.2. You are responsible for keeping your account information, tax details, and payout information accurate and up to date. You are responsible for every action taken under your account and for all users you authorize on your storefront.
1.3. A single WeShipYou account may own one or more storefronts. Each storefront must represent a single, genuine business identity. You may not impersonate another person or business, or misrepresent your affiliation with any person or entity.
2. Storefronts and Listings
2.1. You grant WeShipYou a worldwide, non-exclusive, royalty-free license to host, display, reproduce, adapt, translate, and distribute your storefront name, logo, listing content, product images, videos, and descriptions (collectively, “Seller Content”) for the purpose of operating, promoting, and providing the WeShipYou services, including on our websites, apps, email, and marketing channels.
2.2. You represent and warrant that your Seller Content is accurate, not misleading, does not infringe any third-party rights (including intellectual property, privacy, publicity, or contractual rights), and complies with all applicable laws and regulations.
2.3. You must accurately describe each product, including its condition, quantity per package, weight, materials, country of origin, and any safety, age, or compliance restrictions. Listings that materially misrepresent a product may be removed at our sole discretion.
2.4. WeShipYou may reformat, translate, or enrich your listings (for example, by deriving multilingual titles or adjusting images) to improve buyer experience. The original Seller Content you supplied remains authoritative for liability purposes.
3. Prohibited Products and Conduct
3.1. You may not list or sell any product that is illegal to sell, import, or export in any jurisdiction relevant to the shipment; is counterfeit or violates third-party intellectual property rights; is restricted or prohibited by any carrier used by WeShipYou; is obscene, defamatory, or hateful; is subject to government sanctions, embargoes, or export controls; or is otherwise inappropriate for a general-audience marketplace.
3.2. Restricted categories include, without limitation: weapons, ammunition, explosives, illegal drugs and paraphernalia, live animals, human remains, hazardous materials that do not meet carrier dangerous-goods requirements, and products that require licensing you do not hold.
3.3. You may not manipulate search results, buyer reviews, pricing, or stock levels; use another person's account; circumvent fees; or interfere with the operation of the WeShipYou platform.
4. Inventory and Fulfillment
4.1. WeShipYou offers two fulfillment modes per listing:
WeShipYou Warehouse — the physical units are already in a WeShipYou forwarding order and will be picked, packed, and shipped from our warehouse(s) when the buyer orders.
Seller Ships — you retain the inventory and ship each order yourself using WeShipYou shipping services.
4.2. For WeShipYou Warehouse listings, you authorize us to consume the corresponding forwarding-order items as inventory for sales. Once a buyer confirms an order, the underlying inventory units are reserved and may not be withdrawn without our consent. WeShipYou is not responsible for shortfalls caused by inaccurate SKUs, package counts, or customs declarations supplied by you.
4.3. For Seller Ships listings, you must acknowledge each order within one (1) business day and ship it within two (2) business days of acknowledgement, unless a different handling time has been explicitly agreed in writing. You must use a WeShipYou-generated label so that tracking, insurance, and buyer notifications function correctly.
4.4. You are responsible for the accuracy of weight, dimensions, customs descriptions, HS codes, dangerous-goods information, and any regulatory documentation required for the shipment. WeShipYou may, but is not obligated to, validate this information and may refuse or cancel orders that cannot be shipped compliantly.
5. Pricing, Fees, and Payouts
5.1. You set the list price of each product. Prices must include applicable VAT or sales tax where required by law. You may not set prices materially higher than the same product is offered on other marketplaces operated by you.
5.2. WeShipYou charges a marketplace fee (default 10% of the gross line amount, unless a different rate is stated in your storefront settings) on each sale. The applicable fee rate is displayed to you at the time the order is placed and is persisted on every order line. WeShipYou may adjust default fee rates with at least thirty (30) days prior notice.
5.3. WeShipYou collects payment from buyers on your behalf. Your net earnings per line (gross sale minus the marketplace fee and any applicable chargebacks, refunds, shipping costs owed by you, or taxes WeShipYou is required to withhold) are credited to your seller balance as orders are fulfilled.
5.4. Payouts of available balance are made using the payout method you configure on your storefront (for example, Stripe Connect, manual bank transfer, or another method we support). WeShipYou may delay or withhold payouts to cover chargebacks, refunds, investigations of fraud, breach of these Seller Terms, or amounts you otherwise owe WeShipYou.
5.5. You are solely responsible for all taxes arising from your sales, including income tax, VAT, GST, and sales tax. Where required by law, WeShipYou will collect and remit applicable taxes on your behalf; in those cases you authorize us to do so.
6. Orders, Returns, and Refunds
6.1. Once a buyer places an order, a binding sales contract is formed directly between you and the buyer. WeShipYou acts as a technology provider and, where applicable, an agent for payment collection and shipping label generation.
6.2. You must honor the WeShipYou 14-day buyer-protection return window for any product that arrives damaged, materially different from the listing, or does not arrive. WeShipYou may issue refunds from your balance on your behalf and deduct the corresponding amount, including shipping costs, from your next payout.
6.3. You may set your own additional return policy for buyer-remorse returns, provided it is displayed on the listing and complies with applicable consumer-protection law. In all cases WeShipYou reserves the right to side with the buyer when the listing is inaccurate or the product is not as described.
7. Customs, Dangerous Goods, and Trade Compliance
7.1. For cross-border shipments, you are the exporter of record unless otherwise agreed in writing. You must provide truthful customs declarations, HS codes, and invoice values. You may not under-declare, mis-declare, or split shipments to evade duties or taxes.
7.2. You are responsible for identifying and correctly declaring dangerous goods, lithium batteries (UN3480, UN3481 and related PIs), liquids, aerosols, magnetized materials, dry ice, biological substances, perfume, and any other restricted content. Customs and dangerous-goods data declared on your forwarding-order items will flow into the shipment and is authoritative. If you supply incorrect data you are liable for all resulting fines, losses, and carrier penalties.
7.3. You will comply with all applicable export-control, sanctions, and anti-money laundering laws, including those administered by the U.S. Office of Foreign Assets Control (OFAC), the U.S. Department of Commerce Bureau of Industry and Security (BIS), the European Union, the United Kingdom, and the United Nations. You may not sell or ship to any person, entity, vessel, or aircraft that appears on any applicable sanctions or denied parties list (including the OFAC SDN List, EU Consolidated List, and UK HMT List), or to any destination to which export is prohibited under applicable law.
7.4. Prohibited and Restricted Destinations
You may not list, offer, sell, or ship products to the following destinations through WeShipYou, regardless of buyer location at time of checkout:
Fully embargoed countries and regions (comprehensive U.S. sanctions): Cuba, Iran, North Korea (Democratic People's Republic of Korea), Syria, and the Crimea, Donetsk People's Republic (DNR), Luhansk People's Republic (LNR), Kherson, and Zaporizhzhia regions of Ukraine.
Countries subject to additional sectoral or sector-specific sanctions as administered by OFAC, the EU, the UK, or the UN (for example, certain transactions involving Russia, Belarus, Venezuela, Myanmar (Burma), and Sudan). Where sanctions prohibit specific products, persons, or transactions rather than the whole country, you remain responsible for screening your order before shipment.
Any destination that our carriers (for example, USPS, UPS, FedEx, DHL, and partner postal operators) have designated as undeliverable, embargoed, service-suspended, or requiring a license you do not hold. The applicable list is maintained by WeShipYou based on carrier notices and may be updated from time to time without prior notice.
APO / FPO / DPO addresses for products that violate U.S. Department of Defense restrictions for those locations.
PO Boxes, freight-forwarders, or intermediaries when the destination country requires a specific physical address for customs clearance, or when you know or reasonably should know that the intermediary will transship the product to a prohibited destination.
Any person or entity on a sanctions or denied parties list, including the OFAC Specially Designated Nationals (SDN) List, OFAC Sectoral Sanctions Identifications List, BIS Entity List and Denied Persons List, EU Consolidated List, and UK HMT Consolidated List.
Some destinations may be temporarily restricted due to operational issues, armed conflict, natural disasters, public-health emergencies, or carrier service suspensions. WeShipYou may block or cancel orders to those destinations without notice, and you will not be charged marketplace fees on orders that we cancel for this reason.
You are responsible for your own end-to-end screening of buyers, destinations, and end-uses. WeShipYou's own screening (when performed) is for our own risk management, does not replace your legal obligations, and does not constitute export-compliance advice. If you have any doubt about whether a particular destination is permissible, you must not ship until the question is resolved with your own counsel.
8. Intellectual Property and Content
8.1. You retain ownership of your Seller Content. You grant WeShipYou the license set out in Section 2.1 for as long as you have an active storefront, plus a reasonable tail period to wind down existing listings, fulfill open orders, and satisfy legal and archival obligations.
8.2. WeShipYou respects intellectual property rights and has a notice-and-takedown process for claims of infringement. Repeat infringers will have their storefronts terminated.
9. Suspension and Termination
9.1. WeShipYou may, at its sole discretion and without prior notice, suspend or terminate any storefront, listing, or order if we reasonably believe you have breached these Seller Terms, engaged in fraud, created a risk of harm to buyers or to WeShipYou, or failed to comply with applicable law.
9.2. You may close a storefront at any time. Closure does not release you from obligations regarding open orders, returns, refunds, chargebacks, fees, taxes, and indemnification obligations that accrued before closure.
10. Warranties and Disclaimers
10.1. You represent and warrant that (a) you have all rights, licenses, and consents necessary to sell each product and use the related Seller Content; (b) your products are authentic, safe, and fit for purpose; (c) your activities on WeShipYou comply with all applicable laws; and (d) your statements to buyers and to WeShipYou are accurate.
10.2. Except as expressly set out in these Seller Terms or the general Terms of Service, the WeShipYou platform is provided “as is” and “as available”. WeShipYou makes no representations or warranties, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement, and does not guarantee any level of sales, traffic, or revenue.
11. Indemnification
You will defend, indemnify, and hold harmless WeShipYou, its affiliates, and their respective officers, directors, employees, and agents from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your products, Seller Content, or activities on WeShipYou; (b) your breach of these Seller Terms or any applicable law; (c) any misdeclaration of customs, dangerous goods, or regulated content; or (d) any dispute between you and a buyer.
12. Limitation of Liability
12.1. To the maximum extent permitted by law, WeShipYou's aggregate liability to you arising out of or related to these Seller Terms or your use of the marketplace will not exceed the greater of (a) the marketplace fees actually received by WeShipYou from you in the three (3) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (US$100).
12.2. In no event will WeShipYou be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, or data, arising out of or related to these Seller Terms, even if WeShipYou has been advised of the possibility of such damages.
13. Changes to the Seller Terms
WeShipYou may modify these Seller Terms at any time. Material changes will be notified to you through the WeShipYou seller dashboard, by email, or by both. Changes take effect on the date stated in the notice (and in any case no sooner than seven (7) days after notice, unless the change is required for legal or security reasons). Your continued use of the marketplace after the effective date constitutes acceptance of the updated terms.
14. Governing Law and Disputes
14.1. These Seller Terms are governed by the laws that govern the general WeShipYou Terms of Service, without regard to conflict-of-laws principles.
14.2. Disputes will be resolved as described in the general Terms of Service, including any applicable arbitration or exclusive-jurisdiction clauses.
